01. Acceptance of Terms & Company Identity

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("Client", "You", "User") and Pathway Media ("Pathway Media", "Company", "We", "Us", "Our"), having its principal corporate headquarters at SCO 319, First Floor, Mughal Canal, Karnal, Haryana – 132001, India, under the leadership of directors Ishant Chhabra and Ramandeep Kaur.

By accessing our website (pathwaymedia.in), submitting an inquiry, paying an invoice, or commissioning any service from Pathway Media, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cancellation and Refund Policy, and Shipping and Exchange Policy.

02. Scope of Services Offered

Pathway Media provides unified business solutions structured across three primary pillars:

• Software & Digital Engineering: Bespoke web applications, responsive websites (Starter, Business, Premium tiers), custom CRM software, restaurant POS & billing systems, salon management systems, iOS & Android applications, database architecture, and REST API development.
• Performance Digital Marketing & Media: Search Engine Optimization (SEO), Social Media Management (SMM), 4K high-retention Reels & video production, Meta (Facebook & Instagram) ads management, Google PPC Search & Display ads, content copywriting, and brand identity design.
• Corporate Recruitment & Staffing: Guaranteed 14-day technical talent placement, executive headhunting, candidate screening, and recruitment lifecycle management.

Detailed specifications, timelines, milestones, and deliverables for individual client engagements are memorialized in an official Statement of Work (SOW), proposal deck, or commercial invoice issued by Pathway Media.

03. Quotations, Pricing & Payment Terms

All quotations and packages are quoted in Indian National Rupees (INR ₹) unless explicitly agreed upon in foreign currency for overseas clients. Prices exclude applicable statutory taxes (GST) unless noted as inclusive.

• Milestone-Based Projects (Web & Software): Typically billed in agreed milestone tranches: an advance commencement deposit (e.g., 50%) prior to project kickoff, followed by milestone releases upon staging presentation and final deployment handover.
• Monthly Retainer Services (SMM, SEO, Paid Ads Management): Retainers are billed monthly in advance. Service execution commences upon receipt of the retainer payment for the upcoming cycle.
• Third-Party Ad Spends: Advertising budgets paid directly to ad platforms (such as Meta Ads Manager or Google Ads) are funded directly by the client. Pathway Media’s management fee is strictly separate from media spend.
• Payment Gateways & Banking: We accept payments through authorized Indian payment gateways (Razorpay, PayU, UPI, Net Banking, Credit/Debit Cards) and direct NEFT/RTGS wire transfers to our authorized corporate account.
• Invoicing & Overdue Invoices: Invoices are payable within 7 business days of issuance. Pathway Media reserves the right to pause active development or suspend campaign management if payments remain unsettled beyond 14 business days.

04. Client Obligations & Approval Timelines

To ensure timely execution and adhere to stated delivery timelines, the Client agrees to:

• Provide timely access to necessary brand assets, logos, high-resolution media, server credentials, domain DNS controls, and copywriting inputs.
• Provide consolidated, timely feedback on staging reviews, design prototypes, and content calendars within 3 business days of receipt. Delays in client feedback automatically extend projected delivery deadlines.
• Warrant that all materials, graphics, trademarks, and texts supplied to Pathway Media do not infringe upon any third-party intellectual property or copyright. The client assumes full legal indemnity for supplied assets.

05. Intellectual Property & Ownership

Client Ownership: Upon receipt of cleared 100% full payment for a completed project, all custom frontend designs, client-specific website code, final graphic assets, and bespoke deliverables are transferred entirely to the Client for unrestricted commercial use.

Pre-Existing & Open Source IP: Pathway Media retains all rights to its pre-existing proprietary developer tools, code libraries, boilerplate frameworks, scripts, and open-source components utilized in assembling the solution.

Portfolio & Showcase Rights: Unless an explicit Non-Disclosure Agreement (NDA) has been formally signed by both parties, Pathway Media reserves the customary professional right to showcase completed client websites, case study metrics, logos, and creative videos in our portfolio, marketing collateral, and social media channels.

06. Revision Scope & Post-Launch Warranty

• Design & Creative Revisions: All packages include 2 to 3 complimentary revision rounds during the prototyping/draft phase. Revisions entail styling adjustments, color scheme changes, copy edits, and asset substitutions within the agreed scope.
• Scope Creep & Additions: Feature requests or structural additions outside the initial agreed proposal will be quoted separately as an add-on change request.
• Post-Launch Bug Fix Warranty: Standard website packages include 30 days of complimentary technical support; Business and Premium packages include 90 to 180 days of priority support covering any technical bugs, browser display anomalies, or broken links directly caused by our build.
• Warranty Exclusions: Warranty does not cover issues resulting from client tampering with source code, unauthorized third-party plugin updates, hosting server outages, or DNS misconfigurations outside our control.

07. Third-Party Platforms & Dependencies

Pathway Media integrates with leading industry third-party platforms (including Meta Platforms, Google LLC, Apple App Store, Google Play Store, Cloudflare, WhatsApp Cloud API, and cloud hosting providers).

Pathway Media is not liable for performance variations, algorithm shifts, account suspensions, verification rejections, or unexpected API downtime triggered by policy modifications of these third-party conglomerates. We will, however, provide technical advisory and escalation assistance to restore optimal performance.

08. Limitation of Liability & Indemnity

To the maximum extent permitted under applicable Indian law, Pathway Media, its directors, employees, and affiliates shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, revenue, data, or business opportunities) arising out of or in connection with our services.

In all events, the total aggregate liability of Pathway Media arising under any claim, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount actually paid by the client to Pathway Media for the specific service giving rise to the claim during the preceding three (3) months.

09. Termination & Suspension

Either party may terminate a project agreement upon written notice if the other party commits a material breach of these Terms and fails to cure such breach within 14 business days of written notification.

Upon termination, the client shall promptly compensate Pathway Media for all work completed, hours logged, and non-cancelable third-party commitments incurred up to the date of termination, as outlined in our Cancellation and Refund Policy.

10. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good-faith executive mediation between the Client and Pathway Media directors. In the event of unresolved disputes, the parties submit to the exclusive territorial jurisdiction of the competent civil courts located in Karnal, Haryana, India.
